Roger has strong experience in many facets of business and consumer law.  He is resident in our Philadelphia, Pennsylvania office.

He started in the legal field working at Dow, Lohnes & Albertson in Washington, DC.  There he worked on transactional and compliance matters for companies and investors in the media, telecommunications and new media industries including nascent Internet companies.  He helped a number of companies set up and refine internal systems in corporate compliance and governance areas.  He assisted with numerous financing transaction from venture capital and mezzanine financing to debt, initial public offerings and secondary offerings.  He developed an expertise in Blue Sky work (state securities registration and regulation), Section 16 compliance and transactional due diligence.  

Roger then went in-house for a major Internet service provider where he dealt with cutting edge issues in cyberlaw matters in the United States and around the World.  He worked closely with management and the board of directors in vetting, completing and absorbing 75 acquisitions and obtaining $3.3 billion of private and public investment.

Roger was also in-house at a Fortune 500 industrial company where he developed a full-scope compliance program.  That program dealt with numerous overlapping laws and regulations from the Foreign Corrupt Practices Act and the PATRIOT Act to Sarbanes-Oxely, import-export regulations and anti-money laundering regulations.  He developed an ethics helpline and management and reporting system covering employees in 23 countries speaking 12 languages.  He was also responsible for the conduct and oversight of investigations and oversight of the contract process.

Roger's consulting and counseling experience runs the gamut from large litigation projects to helping businesses of all sizes comply with law and regulation from local, state and federal agencies.

Roger has strong expertise in negotiating corporate systems and understanding where to find the information necessary to prove the claim or case whether he’s prosecuting or defending a claim.  His intimate knowledge of business systems lets him produce answers that bring about mutually satisfactory resolutions to the toughest problems.
